Role Description

This is a full-time, on-site Counsel, Mergers & Acquisitions role located in Boston, Massachusetts (with some travel to NYC). The Counsel will guide various stages of mergers and acquisitions, ensuring compliance and minimizing legal risks. Key responsibilities include conducting due diligence, drafting, and negotiating transaction documents, overseeing deal structuring, advising on regulatory matters, and collaborating with cross-functional teams. The Counsel will also play a pivotal role in aligning legal strategies with business objectives and managing external legal counsel when necessary.

Compensation & Benefits
  • Base Pay Range $125K to $175K
  • Annual Bonus Potential up to 20% of Base Pay
  • Profit sharing potential after 1 Year.

Qualifications
  • Expertise in Mergers and Acquisitions, including conducting due diligence, deal structuring, and document preparation
  • Strong contract drafting, negotiation, and review skills
  • Experience in regulatory compliance in health care a plus, corporate governance, and legal risk assessment
  • Proficiency in strategic legal planning and advising on transactional matters
  • Licensed attorney with a Juris Doctor degree from an accredited law school and active bar membership
  • 5+ years of experience in a corporate legal role, preferably within the healthcare industry or private equity sector
  • Effective communication, organizational, and analytical problem-solving skills
  • Ability to collaborate with cross-functional teams and adapt in a fast-paced environment
